Terms of Service

These Terms of Service (“Terms”) govern your use of upstreamsignals.com and the Upstream Signals services provided by Dark Dog Mines, LLC (“we,” “us,” “our”). By using the site or subscribing, you agree to these Terms. If you do not agree, do not use the service.

1. The service

Upstream Signals provides a free weekly brief and paid signal lists and reports covering the U.S. critical-minerals, rare-earth, and coal build-out. We may change, add, or discontinue features over time.

2. Eligibility

The service is intended for business use by individuals who are at least 18 years old and able to enter a binding agreement.

3. Subscriptions, fees, and payment

The weekly brief is free. Paid plans (Signals, Signals Pro, and Custom) are billed at the rates agreed at the time of purchase, with the billing cycle and renewal terms provided then. Digital lists and reports are final and non-refundable once delivered. Subscriptions may be canceled at any time and remain active through the end of the current billing period; we do not provide refunds for partial periods.

4. Acceptable use

You agree not to misuse the site, attempt to scrape, overload, or disrupt it, or resell, redistribute, or republish our paid deliverables without our written permission. The free weekly brief may be shared in full with attribution to Upstream Signals. Paid lists and reports are licensed for the subscriber’s internal business use only.

5. What deliverables contain, and your outreach

Our deliverables cover companies, projects, and the role or team to approach. They do not include the personal contact details of named individuals. If you contact companies or their personnel, you are solely responsible for doing so lawfully, including compliance with the CAN-SPAM Act and other applicable marketing, privacy, and data-protection laws.

6. Accuracy and no advice

We compile signals from public sources and verify them against those sources, but we provide all information “as is” and do not warrant that it is complete, accurate, current, or fit for a particular purpose. Nothing we publish is investment, financial, legal, or other professional advice, and you are responsible for any decisions you make based on it.

7. Intellectual property

The site, the Upstream Signals brand and mark, and our content are owned by Dark Dog Mines, LLC. We grant you a limited, non-exclusive, non-transferable license to use the deliverables you receive for your internal business purposes. You may not use our name or logo without permission.

8. Third-party links and services

We may link to or rely on third-party sites and services. We are not responsible for their content, availability, or practices.

9. Disclaimers and limitation of liability

To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose. To the maximum extent permitted by law, our total liability for any claim relating to the service is limited to the amount you paid us in the twelve months before the claim, or one hundred U.S. dollars if you paid nothing. We are not liable for indirect, incidental, or consequential damages.

10. Indemnification

You agree to indemnify and hold us harmless from claims arising out of your use of the service, your use of any deliverable we provide, or your violation of these Terms or applicable law.

11. Termination

We may suspend or terminate access if you violate these Terms. Provisions that by their nature should survive termination will survive.

12. Governing law and venue

These Terms are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-laws rules. Any dispute will be brought exclusively in the state or federal courts located in Gwinnett County, Georgia, and you consent to their jurisdiction.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the effective date above and post the updated version on this page.
